Terms of Service

The agreement between you and WinLabs LLC for using nowbuild.ing.

Effective 18 September 2026 · Operated by WinLabs LLC

1. Acceptance of these Terms

These Terms of Service (the “Terms”) are an agreement between you and WinLabs LLC (“WinLabs LLC”, “we”, “us”), the operator of nowbuild.ing. They govern your use of the nowbuild.ing website, application, HTTP API, MCP endpoint and public pages (together, the “Service”).

By creating an account, accepting an invitation, connecting an agent or otherwise using the Service, you agree to these Terms and to the Privacy Policy, which explains how we handle personal information. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or another organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.

2. What the Service is

nowbuild.ing is a hosted task manager for small teams. People organize tickets, projects, notes, decisions and files in shared or private workspaces. Members may connect AI agents that they run themselves through the Model Context Protocol (MCP) so those agents can read and update work with the connecting member’s permissions. Workspace admins may publish selected updates on a public journal.

WinLabs LLC operates one multi-tenant service for every team. There is no self-hosted edition. The Service is in early access: features are still being added, changed and removed.

3. Eligibility

You must be at least 18 years old and able to form a binding contract under the law that applies to you. The Service is built for work and is not directed to children.

4. Accounts and security

There is no public sign-up. The first account of an installation is the owner’s, created once during setup with the configured owner email and a private setup token; every later account is created by accepting an email-bound invitation, which today the installation owner issues (workspace administrators can also issue invitations where the installation is configured to allow it). Give accurate information, keep it current, and use one account per person. Passwords are handled by our sign-in provider and must meet the rules shown at sign-up.

Keep your password and your agent tokens confidential. You are responsible for everything done through your account and through the agents you connect, whether or not you authorized it, until you tell us or your workspace admin about a compromise and the access is revoked. A signed-in session lasts up to 30 days; changing your password signs out your other sessions.

Tell us at once about any unauthorized use of your account, using the contact in section 20.

5. Workspaces, roles and your team

Each workspace has its own members, roles, records and agent connections. Members see the content of the workspaces they belong to, including a private workspace, which is invitation-only but may hold several people. Team access (invitations, roles and removing members) is managed by workspace administrators or by the installation owner, depending on how the installation is configured; workspace admins manage publication for their workspace, and the person who created a workspace may delete it after downloading an export.

WinLabs LLC does not mediate disputes between members of a workspace. If you are removed from a workspace or you leave, the work you contributed stays with that workspace so your teammates’ records remain complete; see the Privacy Policy for what happens to your account details.

6. Pricing

The Service is free to use at this time. We do not limit the number of tickets, projects, people or agents in a workspace, and we do not charge per seat.

We may introduce paid plans for some features or for heavy resource use in the future. If something you already use is going to cost money, we will post the change on this page and, where we have your email address, tell you; we aim to do so at least 30 days in advance. You will be able to export your data and stop using the Service instead of paying.

7. Your content

You keep ownership of the tickets, comments, notes, files and other material you or your agents add to the Service (“Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, back up, process, transmit and display Content only as needed to operate, secure, back up, support and improve the Service, and as you or your workspace admins direct, for example when an admin publishes an update. This license ends when the Content is deleted, except for copies held in backups for up to 90 days and public copies that others made while the Content was published.

We do not sell Content, use it for advertising, or use it to train machine-learning models.

You are responsible for your Content. You confirm that you have the rights needed to add it to the Service, to share it with the members and agents of the workspace, and to publish anything you publish. If you send us feedback or suggestions, we may use them without any obligation to you.

8. Agents you connect

A member may create an agent token for one workspace. Anything using that token acts with that member’s permissions in that workspace until the member or an admin revokes it. The connecting member is responsible for everything their agents do, including the Content they create, the actions they take and where they send what they read.

The Service never runs agents, never holds model or provider credentials, and has no agreement with any AI provider you use. The Service returns what an agent reads to the client you run; that client may forward it to whatever model it uses, local or hosted, under that provider’s own terms and outside our control. Make sure you have the right to send your workspace’s Content wherever your client sends it, and that your teammates would expect it.

Agents report usage counters (model and client names, token totals) that the Service records so teams can see effort and cost. Those counters come from your client and are approximate; the API-equivalent cost shown is an estimate, not a bill. We may rate limit, pause or revoke agent access to protect the Service or other users.

9. Public pages and publishing

Nothing in a workspace is public until a workspace admin publishes it. Published material (journal entries, roadmap items, an optional agent-usage receipt, RSS items and social preview images) can be read, linked, shared and syndicated by anyone. An admin may also approve the exact text of a post for X; it is sent to X only when the installation is configured for live delivery, and it stays a preview otherwise. Agents cannot publish or approve.

When you publish, you confirm that you have the right to make the material public, that it does not disclose another person’s personal information without their permission, and that it does not break the law or these Terms. Unpublishing stops us from serving the material, but copies others made while it was public may remain.

10. Acceptable use

Do not use the Service, directly or through an agent, to:

  • break the law, infringe anyone’s rights, or store or publish material that is unlawful, defamatory, harassing, hateful, deceptive or sexually exploitative;
  • upload malware or anything designed to damage or gain unauthorized access to systems;
  • access, probe or attempt to access accounts, workspaces or data you are not authorized to see, or bypass access controls, rate limits or security measures;
  • send unsolicited messages through invitations, the waitlist or published pages, or impersonate another person or organization;
  • place unreasonable load on the Service, or scrape it other than the public pages and feeds we serve for that purpose;
  • resell the Service or misrepresent your relationship with us.

We may remove material and suspend or terminate access that we reasonably believe breaks these rules.

11. Third-party services

The Service runs on infrastructure from providers named in the Privacy Policy, including Supabase, Render and Resend. Their services are subject to their own terms. We are not responsible for services we do not operate, including any AI provider your client uses, Linear when a workspace admin imports from it (the key entered is used for that import and is not stored), and X when an admin approves a post and live delivery is configured.

12. Availability and changes to the Service

The Service is provided as it is today, without a promised level of availability. It may be interrupted for maintenance, by our providers, or by problems we did not foresee. We may add, change or remove features at any time. If we plan to discontinue the Service entirely, we will post the date on this page and, where we have your email address, tell you, aiming for at least 30 days in advance, and keep exports available until then, unless the law or a security incident requires otherwise.

Keep your own export of anything you cannot afford to lose. Export space in People & agents downloads a workspace’s records and files at any time.

13. Suspension and termination

You may stop using the Service at any time. Leave workspace removes your access to a workspace, the creator of a workspace may Delete workspace after exporting it, and Delete your account on your profile starts an account deletion request; the Privacy Policy explains what each does.

We may suspend or terminate your access if you materially break these Terms, if we must for legal or security reasons, or if we discontinue the Service. Where reasonable we will tell you why and give you a chance to export your data. When your access ends, these Terms continue to apply to what happened before, and sections 7 and 14 to 19 survive.

14. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not make any promise about the output, actions or reliability of agents you connect, or about the accuracy of usage counters and cost estimates.

15. Limitation of liability

To the fullest extent permitted by law, WinLabs LLC and the people who work on the Service will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising from or related to the Service or these Terms, even if we were told such damages were possible. Our total liability for all claims relating to the Service in any twelve-month period is limited to the greater of the amount you paid us for the Service in that period (currently nothing) and 100 US dollars.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law that applies to you, including liability for fraud, for gross negligence or willful misconduct, or for death or personal injury caused by negligence. If you are a consumer, you keep the mandatory protections of the law of the country where you live.

16. Your responsibility for claims

To the extent permitted by law, you will defend and compensate WinLabs LLC against claims, damages and reasonable costs arising from your Content, the actions of agents you connect, material you publish, or your breach of these Terms.

17. Governing law and disputes

These Terms are governed by the laws of the United States, without regard to its conflict-of-law rules, and disputes will be brought in the courts of the United States. If you are a consumer in the European Union, the United Kingdom or another place whose law gives you the right to sue at home or to protections that cannot be waived, those rights are not affected.

If you have a problem, please contact us first (section 20). Most issues can be settled informally.

18. Changes to these Terms

We may update these Terms. The current version, with its effective date, is always at nowbuild.ing/terms. For material changes we will post the new version on this page before it takes effect and, where we have your email address, tell you; we aim to give at least 14 days’ notice, unless a change is required by law or is needed to address a security issue. Using the Service after a change takes effect means you accept the new Terms; if you do not, export your data and stop using the Service. This version is effective 18 September 2026.

19. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours to a successor that operates the Service, and we will tell you if that happens. We are independent contractors; nothing here creates a partnership or agency. You must comply with export-control and sanctions laws that apply to you. These Terms are written in English.
